Part-Time
M&A Corporate Associate Attorney
Hybrid
Oak Brook, IL
Core Responsibilities
- Draft, review, and negotiate business sale and purchase agreements, NDAs, commercial leases and lease assignments, general assignments, and related transactional documents.
- Our clients' typical deal price is usually between $1 million - $10 million and most commonly use asset purchase agreements.
- Maintain strong organization and communication with clients, team members, and counterparties in a fast-paced, deadline-driven environment.
- Support the due diligence process by analyzing materials such as corporate documents, leases, and regulatory filings.
- Collaborate with cross-functional teams including finance, lenders, tax, wealth managers, insurance, and real estate advisors to ensure timely deal execution.
- Maintain meticulous records of all transaction documentation and correspondence within the law office management system.
Qualifications/Skills
- 3 to 5 years of experience in corporate law, with a focus on mergers and acquisitions. (with active bar admission in Illinois).
- Reside within a reasonably commutable distance of Oak Brook, IL and be available for in-office work typically no more than 1-2 days per week.
- Well-spoken and an excellent writer, both of transactional documents as well as emails with clients and staff.
- Proven problem solver with ability to handle complex negotiations with clients and opposing counsel effectively.
- Demonstrated ability to manage and prioritize multiple projects.
- Proficient in Microsoft Word, Excel, Outlook, and Adobe Acrobat. Preferably also in Clio.

- Part time hourly pay anticipated to be between $50 - $65 /hr.
