Job description
Schedule: Part-time; Hybrid, 1-2 days/week onsite.
Objective:
The Associate General Counsel serves as the organization’s primary expert on all employment and corporate legal matters, reporting directly to the CEO. This role involves providing support and strategic legal advice and counsel to internal stakeholders, managing compliance matters, negotiating contracts, and representing the company in legal proceedings. The Associate General Counsel collaborates with different departments to ensure that the company’s operations comply with applicable laws and regulations.
Responsibilities:
- Legal Advice:
- Advise management on legal rights, obligations, and risk.
- Provide legal guidance on a wide range of issues, including employee relations, mergers and acquisitions, contract negotiations, and regulatory compliance.
- Document Management:
- Develop, implement, and maintain effective processes for contract drafting, negotiation, review, approval, and storage to ensure the company’s legal interests are protected.
- Mergers and Acquisitions:
- Support the due diligence process during mergers, acquisitions and other strategic transactions.
- Litigation Management:
- Manage corporate litigation matters, including working with external counsel when necessary to defend the company's interests in lawsuits.
- Coordinate responses to subpoenas, investigations, or disputes.
- Risk Management:
- Identify potential legal risks and advising management on strategies to mitigate these risks.
- Staying Updated:
- Keep abreast of changes in employment law and legal precedents is crucial to provide accurate guidance and representation.
Required Skills/Abilities:
- Strong understanding of business operations, process improvement, resource planning, and cross-functional collaboration.
- Exceptional leadership skills, with the ability to build, manage, and inspire high-performing teams.
- Demonstrated ability to independently prioritize tasks, manage multiple projects simultaneously, and deliver results in a fast-paced, dynamic environment.
- Exceptional written and verbal communication skills, with a proven track record of influencing and collaborating across all levels of the organization.
Education and Experience:
- Juris Doctor (JD) degree from an accredited law school
- Active license to practice law in New York and good standing with New York bar association.
- 2-5 years of relevant legal experience, including significant in-house counsel or law firm experience in a corporate setting.
- Demonstrated leadership and management capabilities
- Strong knowledge of corporate, contract, employment, and regulatory law.
- Excellent negotiation, communication, and interpersonal skills
- High ethical standards and sound business judgment
