Job description
Our customer is a global provider of information-based analytics and decision tools for professional and business customers. They help researchers make new discoveries, doctors and nurses improve the lives of patients, and lawyers develop winning strategies. We are seeking a contract Corporate and M&A Attorney to manage complex domestic and cross-border M&A transactions from inception to closing (including due diligence, negotiation, documentation, and post-closing integration) to draft forms, clauses, checklists, and practice notes (articles). This role is 100% remote and will be filled on a part-time basis (15-20 hours/week).
**Interview Process will consist of an Interview and a writing assessment**
Responsibilities:
- Research, draft, and edit annotated corporate and M&A form agreements (such as short-form templates and other ancillary documents)
- Research and identify practical guidance articles on current awareness related to corporate and M&A matters
- Research, draft, and edit checklists and clauses or other needed content on corporate and M&A topics
Skills and Qualifications:
- A law degree from an accredited law school and admission to at least one state bar
- 2+ years of experience as a corporate and M&A attorney
- Substantive experience in corporate transactions, including mergers, asset and equity transactions, and substantive experience in drafting, negotiating, and reviewing documentation for the same
- Excellent editing, legal research, analysis, and writing skills
- Ability to complete assigned projects by prescribed deadlines without follow-up
- Detail-oriented and able to follow prescribed editorial guidelines accurately
- Ability to draft quickly and effectively, and to write concisely
