Job description

The Mom Project is excited to support our customer in their search for an experienced Corporate Attorney to join their team. This is a fully remote role for candidates licensed to practice law in Florida.


Job Overview

We are seeking a bi-lingual (English/Spanish) corporate attorney with extensive experience in M&A, international transactions, corporate finance, corporate governance, and contract drafting. The ideal candidate would have large firm training and experience and have graduated from a highly regarded law school. No book of business is required.

Responsibilities

  • Draft and review contracts, agreements and other legal documents, including shareholder and operating agreements.
  • Provide legal counsel on corporate governance matters, including developing and implementing corporate governance policies and procedures, and managing and advising both US companies and their international affiliates.
  • Act as a trusted advisor and leader to handle transactions and projects from start to finish.
  • Liaise with local counsel on cross-border matters.
  • Lead and manage multiple transactions and matters simultaneously, ensuring that all deadlines and client expectations are met, while delivering high-quality work product.


Qualifications

Education & Work Experience

  • Juris Doctorate from a respected ABA accredited law school and admitted to and in good standing with the Florida state bar.
  • At least 7+ years of experience (mid-level to senior attorney) at a law firm and/or as inhouse corporate counsel.
  • Experience in M&A, corporate law, and private equity transactions.

About Our Customer

Our customer is a small law firm comprised of four senior, former large-firm attorneys, based in Miami, Florida. They provide services to clients located in Florida, across the United States, and internationally. Clients range from individual investors to small- and medium-sized entrepreneurial companies to institutional or quasi-institutional clients, including notable family offices. Deals and matters vary in size, ranging from seven- to low nine-figures, across such industries as technology and hospitality.
