Interim Securities Counsel (Remote - EST)

The Mom Project is excited to support Etsy with their search for an experienced Securities Counsel to join them on a contract basis.

About the Role

The role is open to remote candidates who are willing to align their workday to US Eastern Time Zone hours and to travel to Etsy's Brooklyn, NY office as needed.

This is a specialized role for which substantive legal knowledge of corporate and securities law is required. This role will cover:

• Preparing and reviewing Etsy's SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s, and Section 16 filings.
• Advising on compliance with SEC and NASDAQ rules and regulations.
• Advising on impact goals and related reporting requirements.
• Reviewing external communications, including press releases, investor presentations, and other announcements, and significant internal communications.
• Supporting Etsy's annual meeting of stockholders, as requested.
• Supporting the administration of Etsy's Insider Trading Policy and pre-clearance process.
• Reviewing/drafting intercompany agreements.
• Assistance with subsidiary governance matters, as requested.
• Advising the Treasury and Accounting teams on our credit facility and convertible notes.
• Reviewing/preparing Committee materials, advising on compliance with Committee Charters, and drafting minutes, as requested.
• Supporting other matters within the Public Company Legal team, as requested.

Ideally the person in this role will bring:

• A juris doctor (JD) and admission to a state bar is required.
• 4-7 years experience preferred at a law firm or in-house public company.
• Strong communication and collaboration skills.
• The ability to build relationships across legal and business teams.
• Prior marketplace or technology public company experience.
• Experience with standard Microsoft Office / Google Docs, Sheets, and Slides is required; experience with Workiva filing software is strongly preferred.

Hours and Location

• 100% Remote for US based candidates
• 40 hours/week, standard ET schedule
• The ideal candidate will have the ability to travel to Brooklyn occasionally
