Company Overview: Our client is a mid-Size, nationally known, well-established, growing, and fast-paced law firm is seeking to immediately hire a Legal Assistant or Paralegal who is ready to join an exciting and energetic working environment.
Job Summary: We are seeking a detail-oriented and experienced Mergers & Acquisitions (M&A) Paralegal to assist our attorneys in the execution of corporate transactions. The M&A Paralegal will play a key role in preparing documentation, conducting due diligence, managing transaction closing processes, and ensuring regulatory compliance. This position requires strong organizational skills, familiarity with corporate law, and the ability to work in a fast-paced environment.
Key Responsibilities:
- Document Preparation: Assist in the drafting and preparation of M&A transaction documents, including purchase agreements, disclosure schedules, non-disclosure agreements, and closing binders.
- Due Diligence: Conduct and coordinate due diligence reviews, including gathering, organizing, and summarizing information related to corporate structures, financials, contracts, and intellectual property.
- Corporate Filings: Prepare and file corporate documents with the relevant state and federal agencies, including incorporation documents, amendments, and post-closing filings.
- Transaction Management: Manage the logistics of the closing process, including preparing closing checklists, tracking deliverables, coordinating signatures, and compiling final transaction documents.
- Data Management: Organize and maintain data rooms for M&A transactions, ensuring all parties have access to up-to-date and accurate documentation.
- Research: Assist with legal research related to corporate structures, securities regulations, and compliance issues as they pertain to M&A transactions.
- Client Interaction: Communicate with clients and other professionals (e.g., accountants, financial advisors) to collect necessary information and facilitate the transaction process.
- Regulatory Compliance: Ensure compliance with state and federal laws, including SEC and antitrust filings, when applicable.
- Post-Closing Activities: Assist in post-closing activities, including preparing final versions of documents, ensuring proper record-keeping, and handling any necessary administrative tasks.
Qualifications:
- Education: Bachelor’s degree in Paralegal Studies, Legal Studies, or a related field; or equivalent work experience.
- Certification: Paralegal certification from an accredited organization (e.g., NALA, NFPA) is preferred.
- Experience: Minimum of 3-5 years of experience as a corporate paralegal, preferably with a focus on M&A transactions or corporate law.
- Skills: Strong understanding of corporate and securities law, excellent organizational and multitasking abilities, and proficiency in legal research and document management tools.
- Attention to Detail: Exceptional attention to detail and accuracy, with the ability to manage multiple projects and meet tight deadlines.
- Communication: Strong written and verbal communication skills, with the ability to work effectively as part of a team and independently.
- Tech Proficiency: Proficiency in Microsoft Office Suite, legal research databases, and virtual data room software. Mycase and Soluno preferred.
Preferred Qualifications:
- Experience working in a large law firm or corporate legal department
- Familiarity with private equity or venture capital transactions
- Experience with SEC filings and compliance-related work
