Job description
The Mom Project is excited to partner with a Legal Services company that is looking for a corporate attorney that can help in the representation of a client in the purchase of a small business located in Illinois.
The law firm requires the assistance of a skilled corporate attorney to ensure a smooth and successful transaction. This is a short-term, project-based opportunity perfect for an independent attorney looking for a focused and impactful engagement.
Responsibilities
- Conduct thorough due diligence on the target business, including reviewing financial statements, contracts, lien and judgment searches and other relevant documentation.
- Review and analyze the purchase agreement, identify potential risks, markup the agreement and negotiate favorable terms for our client.
- Draft and revise legal documents related to the transaction.
- Assist with closing procedures, ensuring all legal requirements are met.
- Assist with Illinois bulk sales notices to the relevant Illinois tax authorities
- Maintain clear and concise communication with the lead attorney
- The candidate will not be required to communicate with the client or any other parties in the transaction, as all communications will flow through the lead attorney
Qualifications
- Licensed to practice law in the State of Illinois.
- Minimum of 5-8 years of experience in business purchases and sales.
- Proven expertise in due diligence processes, contract review and negotiation, and business acquisitions.
- Strong analytical and problem-solving skills.
- Excellent written and verbal communication skills.
- Ability to work independently and manage deadlines effectively.
- Familiarity with Illinois business law and regulations is required but Illinois license is not a must (but is preferred).
