Job description

We are seeking a contract Banking and Finance Attorney to help draft and review “how-to” type practical guidance, legal and market trend analysis, and research in case law, treatises, and various other legal resources for a wide range of banking & finance topics. Significant substantive experience representing agent banks, arrangers, non-bank lenders, and other financial institutions, as well as sponsors and corporate borrowers with a variety of financing transactions, including drafting and negotiating credit agreements, security documents, guarantees, intercreditor agreements, and related documentation, as well as drafting and negotiating agreements relating to structured finance and securitizations and financial derivatives. Experience in acquisition and leveraged finance, syndicated lending, private credit lending, asset finance, project finance, restructurings, securitizations, swaps, and other derivatives. This role is 100% remote and will be filled on a part-time basis (15-20 hours/week).
The interview process includes an interview and a writing assessment.
Responsibilities:
- Develop, edit, and write practical guidance on tasks and issues relevant to the banking and finance practice area.
- Draft, review, and annotate form documents and checklists.
Skills and Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in good standing in any U.S. state.
- 3–5 years of experience as a banking and finance attorney, preferably with an AMLaw 100/200 firm.
- Significant substantive experience representing agent banks, arrangers, and financial institutions, as well as sponsors and corporate borrowers, in a wide range of financing transactions.
- Expertise in drafting and negotiating credit agreements, security documents, guarantees, intercreditor agreements, and related documentation.
- Experience with acquisition and leveraged finance, syndicated lending, private credit lending, asset finance, project finance, restructurings, securitizations, and financial derivatives.
- Strong writing, editing, and online legal research skills.
- Proficiency in Microsoft Word, Excel, online research tools, and AI tools.
- Ability to write practical, effective, and concise guidance.
