Job Title: Transactional Attorney
Location: Virtual
Job Type: Part Time (20 – 30 hours per week), with potential for full-time Associate or Counsel role
Experience Level: At least 5 years
Salary: 1099 Hourly to Start - $175 - $200 per Hour Based on Experience

Job Overview: The Transactional Attorney will be responsible for handling a wide range of business transactions, including equity finance (with an emphasis on venture and private equity financings), debt finance, mergers and acquisitions, corporate governance, and general business counseling. The ideal candidate will have strong drafting, negotiation, and analytical skills, with a deep understanding of corporate and commercial law and meaningful experience managing and closing transactions.

The position can be full-time or part-time, requiring a minimum of 20 hours per week. Part-time attorneys will work in “teams” with one or more other part-time attorneys to manage most aspects of subject transactions. Scheduling accommodations so team members can meet family and other obligations are the rule, not the exception. Team members will be expected to collectively manage their schedules, and necessary accommodations, while also meeting clients’ needs and expectations.

Key Responsibilities:

  • Draft, review, and negotiate contracts and agreements in connection with equity financings (based on NVCA forms), mergers and acquisitions, debt financings, licensing transactions, and other business transactions.
  • Provide legal counsel on corporate governance, compliance, and regulatory matters.
  • Assist in structuring, negotiating, and executing complex business transactions.
  • Conduct due diligence for various transactions, including equity financings and mergers and acquisitions.
  • Advise clients on risk management and legal strategies to achieve business objectives.
  • Collaborate with clients to ensure alignment with legal requirements and business goals.
  • Stay up to date on relevant laws, regulations, and industry trends to provide informed legal advice.
Qualifications:
  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in good standing in State where physically located (at a minimum).
  • At least 5 years of experience as a transactional attorney, with proven experience in handling equity finance, mergers and acquisitions, and other complex business transactions.
  • Strong academic and professional credentials.
  • Strong understanding of corporate governance, compliance, and regulatory matters.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work independently and as part of a collaborative team.
  • High attention to detail and strong organizational skills.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.
